The terms for hosted workspaces, in plain words.

Agreeing to these terms

You agree to these terms when you sign in for the first time. If you use a workspace for a firm, you agree for the firm and confirm that you may. If you do not agree, do not sign in: the free tools need no account.

Accounts and practices

• You sign in with a link sent to your email address. There are no passwords. Keep your mailbox secure: anyone who can read it can sign in as you.
• One account is one person. Do not share an account; invite people instead.
• Your first sign-in creates a practice, which holds workspaces and pays for them. You can belong to several: your own practice, and workspaces of other practices that invite you.
• A practice's owners hold its billing, invite other owners, create and delete workspaces, and reach every workspace of the practice. Everyone else is invited to one workspace at a time and sees only the workspaces they are invited to. An editor edits that workspace's record and invites editors and viewers to it. A viewer reads it and exports it.
• You are responsible for what is done with your account, your personal access tokens and the agents you allow to act for you.

Price and seats

• A$5 per seat per month. A practice's seats are its owners plus anyone who edits at least one of its workspaces. Viewers are free.
• A person is counted once: one seat in a practice, however many of its workspaces they edit.
• The price includes tax. Stripe works out the GST, VAT or sales tax that applies where you are and remits it. Your invoice names Yarra Systems Pty Ltd as the business. Outside Australia, Stripe may show the price in your currency.
• Seats follow the members lists. When someone becomes an owner or an editor, or stops being one, the subscription's seat count changes and Stripe prorates the difference.
• We email owners 30 days before a price change applies to an existing subscription.

The free week

• A new practice is free for seven days from the moment it is created. No card is asked for and nothing is charged.
• Owners get one email two days before the week ends. Nothing is charged when it ends: an owner starts a subscription, when they choose to.
• Without a subscription, the practice's workspaces become read-only when the week ends.

Payment, receipts and refunds

• Payment is handled by Stripe. Stripe, through Link, is the merchant of record: you buy the subscription from Link, which sells it for us. Your card statement reads LINK.COM* yarramate.
• Receipts, invoices, refund notices and subscription emails come from Link, not from us. You can see, change or cancel the subscription and the card at link.com, or through Manage billing on the billing page.
• Stripe handles refunds, disputes and questions about a charge. Stripe may refund a payment within 60 days on its own, including when a question it passes to us goes unanswered. A cooling-off period may apply where the law requires it.
• Beyond that we do not refund part-months: a cancelled subscription stays editable until the paid period ends, so the time paid for is not lost.
• Stripe may cancel a subscription and delete the customer's payment records at the customer's request. We treat that as a cancellation.
• Link's and Stripe's own terms apply to the payment itself. Support for the product, and anything else, is at hello@yarramate.dev.

Cancelling, failed payments and read-only

• An owner can cancel at any time from Manage billing or at link.com. Cancelling takes effect at the end of the period already paid for: the workspace stays editable until then, and is read-only after.
• If a payment fails, editing continues for 14 days while the card is updated. After that the workspaces become read-only.
• Read-only means every member can still open, read and export every workspace, and nothing is deleted. Editing, invitations and changes from agents are refused until a subscription is active again.
• Only an owner of the practice deletes a workspace. A lapsed plan never does.

Your records

• What you put in a workspace is yours, or your client's. You give us permission to store, copy, process and show it only to run the service for you and the people you invite.
• Make sure you have the right to put a client's information in a workspace, and to share it with the people you invite.
• We do not look at a record unless you ask us to help with it, a fault requires it, or the law requires it. We do not use records to train models, and there is no AI model inside the service.
• You can export a workspace as plain files or as a workbook at any time, on any plan.

Agents

• You choose which agents may use a workspace, by allowing them when they connect or by creating a personal access token. An agent acts as you: its changes land in the history under your name, marked with where they came from.
• What an agent reads from a workspace is also seen by that agent's provider, under your own agreement with them. We are not responsible for what a third-party agent does.
• Removing someone from a workspace disconnects the agents they connected to it. You revoke a personal access token from your account page.

Fair use and limits

Do not use the service to break the law, to store material you have no right to, to send sign-in or invitation emails to people who have not asked for them, to probe or overload it, or to reach workspaces you were not invited to. We may suspend an account that does, and we will tell you why unless the law or an attack in progress prevents it.

Every limit has a number:

When a limit is reached, the service refuses the action with a sentence that names the limit and its number. Write to us if a limit gets in the way of real work.

Availability and changes to the service

We run the service with care and keep every record exportable, but we do not promise it will always be available or free of faults. We do not offer a service level or service credits.

We may change features. We will not remove export. If we ever close the service, owners get 90 days' notice by email to export their workspaces.

Ending

You can delete your account at any time from your account page; the privacy policy says what that removes. We may end these terms for an account that breaks them, after notice where we can give it. What these terms say about your records, liability and governing law continues after they end.

Liability

Nothing in these terms excludes the guarantees you have under the Australian Consumer Law, or any other right the law does not allow to be excluded. Apart from those, the service is provided as it is.

Where liability can be limited, ours is limited to the fees you paid for the service in the 12 months before the claim. As far as the law allows, neither of us is liable for indirect or consequential loss, including lost profits, lost revenue and lost data.

Governing law

These terms are governed by the law of Victoria, Australia, and disputes go to the courts of Victoria. Before going to court, write to hello@yarramate.dev and we will try to settle it.

Changes to these terms, and contact

We email account holders 30 days before a change that affects them applies. If you keep using a workspace after that, you accept the change; you can instead export your workspaces and delete your account.
